1. Who we are and acceptance of these terms
This website is operated by Form Industries ("Form Industries", "we", "us" or "our"), a Normal Corporation company registered in Hawaii and California and the maker of Airform heating and cooling products. By accessing or using this website, joining a waitlist, configuring a product, placing an order or deposit, or purchasing an engineering sample, you agree to these Terms of Use and all policies referenced in them, including our Privacy Policy and Warranty terms. If you do not agree, please do not use this site. If you use the site on behalf of a company or other entity, you represent that you have authority to bind that entity to these terms.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to place an order, deposit or order through this site. Our products are currently offered for installation only in the locations listed at the time of ordering, and availability in those locations is not guaranteed until an order is confirmed.
3. Products and information on this site
Airform products are in active development. Product renderings, animations, specifications, performance figures, savings estimates, comparisons with other products, availability, pricing and delivery timelines are provided for information only, are based on testing or modelled estimates, and are subject to change or withdrawal at any time without notice. They do not form part of any contract of sale unless expressly confirmed in writing in an order confirmation. Certifications referenced on this site may be pending where indicated.
4. Waitlist and configurations
Joining the waitlist or saving a product configuration does not reserve a unit, fix a price, or create any purchase obligation for you or for us. We may contact you about your waitlist entry using the details you provide.
5. Orders and payments
Placing an order through this site reserves your place in our delivery queue using the contact details you provide. To confirm an order you either authorize a temporary US$4,200 hold on a payment card, or link a US bank account, in each case through Stripe. A card hold is not a charge: it is released within 7 days, and your card is kept on file with Stripe so that, once your order proceeds, we can charge the full order total to it; we will notify you by email before doing so. For a bank account, we confirm through Stripe that the linked account holds sufficient available funds and then debit the full order total (ACH). You may cancel your order at any time through the contact details below, and we may cancel it at any time; if you have made any payment when an order is canceled, it will be refunded in full to your original payment method. Placing an order does not by itself complete the purchase of a product: a binding contract of sale is formed only when we issue a written order confirmation with a final specification and price ahead of delivery.
Prices shown on this site exclude taxes unless stated otherwise. Applicable taxes, and any charges that depend on your site conditions and are agreed with you in advance, are added at the time of final confirmation. When payment is requested, it is processed by our third-party payment processor, and your payment information is submitted directly to that processor subject to its own terms. We may decline or cancel any order, including for suspected fraud, errors in pricing or product information, or unavailability in your area. If we cancel, our sole obligation and your exclusive remedy is a full refund of the amounts you have paid for the canceled order.
6. Engineering samples
Engineering samples are pre-production hardware supplied for evaluation. They may differ from production units in appearance, features, firmware and performance, may receive substantial software changes, and are supplied with the enhanced engineering support and the warranty coverage described at the time of purchase rather than the standard production warranty. Feedback you provide on engineering samples may be used by us to improve our products without obligation or compensation to you.
7. Early-access software and services
Product software and services are provided on an early-access basis. Features described on this site may change, be delayed, or be discontinued. Firmware updates are installed on units automatically where connectivity permits, and some updates are required for continued safe operation of the product.
8. Installation and site requirements
Installation is performed as described in your order confirmation. You are responsible for providing safe and lawful access to the installation site, for the accuracy of the address and site information you provide, and for obtaining any permission required from a landlord, building owner or homeowners association. Where a site survey identifies conditions that materially differ from the information you provided, we may adjust the scope or pricing of the installation with your agreement, or cancel and refund your order.
9. Connected features, software and updates
Airform products include onboard software and optional connected features such as remote control, monitoring, energy insights and diagnostics. Connected features depend on your home network, third-party services and other factors outside our control, and their availability is not guaranteed. Core heating and cooling functions of the product are designed to operate without an internet connection. We may update product software automatically to maintain safety, security and performance. Data collected by the product and its sensors is handled as described in our Privacy Policy.
10. Software license and use restrictions
Software embedded in or provided with Airform products is licensed to you, not sold, for use solely with the product. You may not copy, modify, distribute, sell or lease any part of our software, and you may not reverse engineer, decompile or attempt to extract its source code except to the extent a law expressly permits it despite this restriction. You may not use our software or products to build or benchmark a competing product, to interfere with the operation of anyone else's unit, or to circumvent safety features.
11. Acceptable use of this site
You agree to use this site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the site. You may not attempt to gain unauthorized access to any part of the site or its systems, scrape or harvest data from the site at scale, introduce malicious code, or misrepresent your identity when submitting information to us.
12. Intellectual property
All content on this site, including text, imagery, renders, animations, video, logos, product designs and page design, is the property of Form Industries or its licensors and is protected by applicable intellectual-property laws. Airform and the Airform logo are trademarks of Form Industries. No content may be reproduced, distributed or used commercially without our prior written permission. You may view and print pages for your personal, non-commercial use.
13. Third-party services and links
This site uses third-party services, including payment processing and map and address lookup services, and may link to third-party sites. Those services and sites are governed by their own terms and privacy policies, and we are not responsible for their content or practices.
14. Warranty
Production Airform products are covered by the warranty described on our Warranty page or provided with the product, which sets out your remedies for product defects. Except for that express warranty and any rights that consumer law grants you which cannot be excluded, we disclaim all other warranties relating to the products, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
15. Site disclaimer
This website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the site will be uninterrupted, error-free or free of harmful components, or that information on it is complete, accurate or current.
16. Limitation of liability
To the fullest extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to this site or these terms; (b) our total liability arising out of or relating to this site, a waitlist entry, a configuration or a order will not exceed the greater of one hundred US dollars ($100) or the amounts you have paid us for the order concerned, and your sole and exclusive remedy for cancellation of an order is a refund of your deposit; and (c) nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including for death or personal injury caused by negligence, or fraud. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
17. Indemnification
You agree to indemnify and hold Form Industries and its officers, employees and agents harmless from claims, damages and expenses (including reasonable legal fees) arising from your violation of these terms or your misuse of this site.
18. Dispute resolution and arbitration
Please contact us first: most concerns can be resolved quickly and informally by writing to us at the contact details below. If a dispute is not resolved within 60 days, you and Form Industries agree that any dispute arising out of or relating to these terms, this site, or an order or deposit will be resolved by binding arbitration before a single arbitrator administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitrator may award relief only in favour of the individual party seeking relief. You and Form Industries each waive the right to a trial by jury and to participate in a class action or representative proceeding. You may opt out of this arbitration agreement by writing to us within 30 days of first accepting these terms.
19. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules, and subject to the arbitration agreement above, the state and federal courts located in San Francisco County, California will have exclusive jurisdiction over any dispute not subject to arbitration.
20. Changes to these terms
We may update these terms from time to time. The "Last updated" date above shows when they last changed. Material changes will be notified on this site or by email where we hold your address, and changes apply prospectively from the date they are posted. If you have an open order, the terms in effect when you placed it continue to apply to that order unless you agree otherwise.
21. Language
Where this site or any communication is made available in a language other than English, the translation is provided for convenience only and the English version controls.
22. General
These terms, together with the policies they reference and any order confirmation we issue, are the entire agreement between you and us regarding this site and any order. If any provision is found unenforceable, the remainder continues in effect. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms without our consent; we may assign ours in connection with a merger, acquisition or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control.
